Terms and conditions
This is a content draft, not a final agreement. It requires qualified review of the English legal and commercial wording before publication.
Version: 23 September 2026. The Dutch version controls a difference only where both versions were supplied before acceptance; mandatory interpretation rules remain applicable.
1. Parties and order
This agreement is between Van Bostelen Software, trading as VB Websites, Emmakade 123, 2411 JH Bodegraven, Netherlands, KVK 42127942, VAT NL005517908B88 (VB Websites), and the customer identified in the order (Customer).
The agreement consists of these terms, the accepted order summary, the cancellation and renewal terms, the domain terms, the selected package and the electronically accepted processor agreement, using the exact versions supplied before acceptance. A customer-specific order controls a commercial conflict; the processor agreement controls a conflict about processing personal data. The privacy notice supplies information and is not consent or a waiver of rights. Mandatory law takes precedence.
The service is strictly business-to-business. The Customer is either a business with an active, verifiable KVK registration that purchases through an authorised person, including Dutch sole proprietors registered with KVK, or a person who is starting their own business in the Netherlands and purchases the website solely for that business. Consumers and persons acting outside a business activity may not purchase. A KVK number alone does not determine whether someone is acting as a consumer, and this clause cannot remove protection that applies by law. We accept orders only from businesses and starting entrepreneurs established in the Netherlands.
Before each payment, VB Websites supplies the complete applicable terms in a form the Customer can save and download, together with the phase-specific order, price and cancellation information. The Customer accepts electronically. VB Websites retains the full accepted wording, language, version and acceptance timestamp. The confirmation identifies each accepted document by title, version, link and checksum (SHA256); VB Websites supplies the full accepted wording free of charge on request. Replacing a public page does not change an existing order.
2. Service and price
There are two packages. Basic: a website of one to two pages, one domain name held by the Customer, the address info@ on that domain forwarded to an email address the Customer already has, hosting over a secure connection, and three text and one photo change per renewed contract year. Professional: everything in Basic, a website of one to five pages, a 15 GB mailbox of its own for info@ that is also reachable at contact@, offerte@ and factuur@, and eight text and three photo changes per renewed contract year. The order names the selected package and the domain name.
The €30 intake-and-design charge, excluding VAT, is separate from the annual package and is not deducted from its price. It covers the intake, the design proposals, our review, and the three-option gallery only. The customer must complete a second annual checkout after selecting a proposal. No domain is registered and no annual provisioning starts from selection alone. The cancellation policy explains when the fee is earned and when it is refunded; rejecting the design choices does not create an annual charge.
The advertised prices are exclusive of VAT. The order states the exact amount, VAT, payment method, renewal amount, renewal frequency and domain inclusion. One customer-held domain is included, including registration and renewal, without a domain surcharge, subject to availability and applicable registry and provider terms. VB Websites registers domains with the extensions .nl, .com, .org, .net and .eu. The relevant service begins only after the corresponding payment succeeds.
The annual service term begins when the annual payment succeeds and runs for 12 months.
3. Customer cooperation
The Customer must provide accurate, complete and timely information, confirm the legal entity and domain holder, review the proposals, respond to clarification requests, maintain access to its email and domain contacts, and provide content and permissions needed for publication.
VB Websites may pause a deadline when the Customer has not supplied required information, a selected domain is unavailable, a transfer requires manual handling, a provider is unavailable, or the Customer requests a scope change. The order and customer notices state the pause reason and next action.
4. Delivery
VB Websites aims to present proposals within 48 elapsed hours after approved intake and to launch within 48 elapsed hours after successful annual payment and receipt of the approved launch information. These are planning targets, not guaranteed deadlines. Timing is communicated in CET/CEST and may change for missing information, requested scope changes, domain transfer or availability, provider disruption or a required customer decision. VB Websites explains material delays and the next action. A missed target alone creates no automatic service credit; contractual and statutory remedies for delay or non-performance remain available.
Customers may email support@vbwebsites.nl at any time. VB Websites aims to respond within one working day; this is not a guaranteed response or resolution time or a continuously staffed helpdesk. Planned maintenance is announced where reasonably practicable. No uptime percentage, uninterrupted or error-free operation, search ranking, indexing, traffic, leads, sales or revenue is guaranteed. Provider SLAs do not become a VB Websites customer guarantee. These limits do not remove the agreed deliverables, reasonable professional care, security/privacy duties or the remedies in section 11.
VB Websites may use standard templates, software, hosting, registrars, mail providers and subprocessors identified in the current notice. It may not publish unapproved customer claims or protected facts.
5. Correction and annual update
The Customer receives the launch-correction allowance stated for the selected package, submitted within 14 days after launch. The current launch allowance for both Basic and Professional is one consolidated round limited to ten text-field changes, five image replacements, one replacement of a displayed element with another on the same page, based on approved intake content, and one approved combination of primary, accent and background colours. This is separate from proposal selection: the Customer may select one proposal, request a correction to one proposal before annual checkout, or reject all proposals.
The correction round cannot add a page, section, function, integration, language or substantive new content, or replace a protected structural element. The launch-correction round is the included update for the first contract year; there is no separate first-year annual update. From the first renewal, the Customer receives one consolidated content update in each renewed contract year. Basic allows at most three existing text-field changes and one image replacement. Professional allows at most eight existing text-field changes and three image replacements. The annual update does not include the correction interchange or colour change. The annual update must be submitted within 30 days after the renewal term starts, after which it lapses.
6. Customer content and rights
The Customer remains responsible for the accuracy, lawfulness and permissions for all supplied text, logos, photos, videos, testimonials, qualifications, certificates, prices, contact details, claims, and personal information. The Customer grants VB Websites the limited permission needed to receive, process, transform, publish, back up and support that material for this agreement.
The Customer retains its rights in Customer content. VB Websites retains its platform, templates, components, tooling and generic know-how. On payment for the delivered website, the Customer receives a perpetual, non-exclusive right to use, copy, modify and host that website for its own business, including through a replacement supplier. This licence survives termination. It does not include the tooling and methods of VB Websites, nor a right to resell its templates or components separately. Disclosed third-party asset and software licences continue to apply.
Standard offboarding includes an export of the latest paid static website, Customer content and assets, and relevant DNS settings, without an exit fee. Server-side forms, analytics and managed mail require replacement services when hosted elsewhere. Mailbox messages are exported through the supported provider route before mailbox closure. Customer material may not be reused for unrelated advertising, a portfolio or training a general-purpose AI model without separate permission.
7. Domain and mail
The Customer is the recorded holder of its domain. VB Websites acts as reseller and technical manager only, unless the Customer gives separate written authority for a defined administrative action. The Customer must accept the applicable registry terms, including the current SIDN terms for a .nl domain.
A domain is rechecked before payment and registration. Availability is not guaranteed until the registration succeeds. An existing-domain transfer may require a transfer token and manual operator handling. VB Websites must not block a valid transfer because of an unrelated dispute; any legally required restriction must be explained as far as permitted by law.
Basic receives the stated forwarding service. Professional receives the stated managed mailbox and aliases. The Customer maintains its destination mailbox, credentials and devices. The cancellation policy governs notice, mailbox export and closure; cancellation does not transfer domain ownership to VB Websites.
8. Payment, renewal and refunds
Payment documents are issued according to the payment-document policy. A paid charge receives one invoice and a phase-specific confirmation. Refunds are linked to the exact charge and receive a credit note when required.
The €30 intake-and-design charge is prepaid; the intake opens only after confirmed payment. After website selection, the first annual package receives a payment request with an attached pro-forma PDF, also downloadable through the personal payment page. The request gives 30 days to pay through Mollie. It is a request for prepayment, not an invoice granting credit, and does not reserve a domain. Domain registration and the twelve-month annual service term begin only after confirmed payment. The final numbered invoice is then issued marked PAID. VB Websites charges no contractual late-payment interest or collection costs, subject to mandatory law.
Renewal, cancellation, mandate, notice, failed payment, abandonment, gallery rejection, domain unavailability and provider-failure remedies are governed by the separate cancellation, renewal and refund terms accepted with the relevant checkout.
9. Privacy and processors
VB Websites is an independent controller for applications, contracts, billing, support, fraud prevention and its own security records. For visitor quote leads and personal information the Customer instructs VB Websites to publish, the Customer is controller and VB Websites is processor. The Customer accepts the processor agreement electronically at intake checkout, before the first intake upload or other processing on the Customer’s behalf begins. It covers intake and the subsequent annual service; acceptance at annual checkout reaffirms it.
The parties must not treat Mollie as a VB Websites processor for ordinary payment services if the applicable Mollie terms and legal review confirm its independent-controller position. Each party remains responsible for its own notice and legal basis.
10. Changes, price adjustments, suspension and termination
10.1 Changes to the agreement and service
VB Websites may unilaterally amend these terms, the package description, technical implementation, providers and operating procedures when reasonably necessary for a change in law or regulation, security, abuse prevention, provider change or withdrawal, technical or operational continuity, or service improvement. A change is not retroactive and does not remove a material part of a paid service period unless this is required by law, security or the unavailability of a required provider. Where an equivalent replacement is not reasonably available, the Customer may end the affected service without a fee; the paid annual fee is then not refunded, subject to mandatory law, and other applicable remedies remain unaffected.
VB Websites gives individual email notice at least 30 days before a material change, stating the reason, effective date and version and including the complete revised terms in a form that can be saved. If the change materially disadvantages the Customer, the Customer may terminate by email before it takes effect without a fee; the paid annual fee is then not refunded, subject to mandatory law. A strictly necessary legal or security change may take effect sooner with prompt notice; the Customer then has 30 days after notice to exercise the same exit right. Provider withdrawal alone does not waive notice where a reasonable transition is possible. Silence is not consent to a new paid service or a retroactive change.
10.2 Price adjustments
VB Websites may change prices for new orders while honouring an issued offer until its stated expiry. The price of an accepted order is fixed for its current paid period. For a following annual period, VB Websites may set a different price for changes in costs, inflation, package scope or commercial policy. An increase is not limited to CPI or an index formula, but must be reasonable in the circumstances.
At least 30 days before renewal, VB Websites individually emails the old and new price, applicable VAT and total, reason, scope, effective date, payment method and right to cancel. The Customer may cancel by email at any time before that renewal starts, without a termination fee. If notice is late or delivery fails, VB Websites honours the old price for that renewal or obtains the Customer's express agreement to a later renewal at the new price. It does not collect an increased amount first and notify later.
VAT, government charges and other mandatory statutory amounts may change from the date they legally apply. This does not permit a discretionary mid-term price increase.
10.3 Service adjustments
VB Websites may replace a technical component, provider or operating method with an equivalent or better solution. It may adjust package scope for a following service period together with the applicable price and notice. It may not use this clause to remove a material service promise during a paid period without an equivalent replacement or the Customer's termination rights. Customer domain-holder, transfer and export rights remain subject to the applicable registry and provider rules.
10.4 Suspension and termination by VB Websites
For a remediable material breach, VB Websites explains the breach by email and gives at least 14 days to remedy it before proportionate suspension or termination. Ordinary non-payment follows the 30-day grace period in the cancellation policy. Immediate action is limited to the affected service where reasonably necessary to address unlawful use, fraud, an urgent security threat, a binding legal restriction or a material breach that cannot be remedied. VB Websites gives reasons and a contact route as soon as legally permitted and restores service when the reason for suspension ends.
VB Websites may discontinue a plan, decline renewal or terminate a service for business reasons by giving at least 30 days' individual email notice, or a longer period where Dutch reasonableness and fairness require it. The Customer is not automatically moved to another paid plan. VB Websites explains the end date and transition options and provides standard export and transfer assistance without an exit fee. If VB Websites ends a service early, the paid annual fee is not refunded, subject to mandatory law. Permanent provider failure requires reasonable mitigation and transition efforts; if service cannot continue, the same no-refund position applies, subject to mandatory law. Separate full-refund rights for failed initial delivery remain applicable.
10.5 Effects of termination
Termination stops future renewal attempts and does not cancel charges already due or legally required retention. VB Websites confirms the end date, provides the agreed export and transfer assistance, coordinates domain and mail actions according to the Customer's instruction and provider rules, and applies the approved deletion schedule. Correction and annual-update rights end at the contractual end date unless the final terms or a refund arrangement state otherwise.
11. Liability, force majeure and disputes
VB Websites performs the agreed service with reasonable professional care. The exclusions of commercial guarantees do not excuse non-performance, unlawful processing or failure to meet an expressly agreed deliverable. Customers can report defects or complaints to support@vbwebsites.nl. VB Websites investigates, explains its response and seeks a practical solution. Correction and annual-update allowances do not limit correction of VB Websites' own contractual defects.
For a remediable failure, the affected party gives written notice describing the failure and a reasonable opportunity to put it right, normally at least 14 days. No additional cure period is required where Dutch law permits an immediate remedy, including where performance is permanently impossible. Statutory performance, termination, restitution and damages rights remain available to the extent not lawfully excluded and where their conditions are met; complaining does not require arbitration or waive access to a court.
Force majeure applies only to a failure not attributable to the affected party under Dutch law. A provider outage is not automatically force majeure. The affected party promptly explains the impact, limits harm and seeks recovery. Either party may terminate the affected service if material non-performance lasts 30 consecutive days, or sooner where law or the specific refund policy allows. The paid annual fee is then not refunded, subject to mandatory law; VB Websites supplies the available export and transfer assistance.
To the fullest extent permitted by Dutch law, VB Websites excludes liability for damages arising from or connected with this agreement or its services, whether claimed in contract, tort or otherwise. This includes direct and indirect loss, lost profit, revenue, savings, business opportunities or data, business interruption and loss connected with third-party services. No commercial outcome or availability guarantee is given.
This exclusion does not apply to intent or deliberate recklessness by VB Websites or those managing its business, liability that mandatory law does not permit to be excluded, or circumstances in which relying on the exclusion would be unacceptable under Dutch standards of reasonableness and fairness. Mandatory liability for death or personal injury, GDPR data-subject rights and other non-excludable statutory rights remain unaffected. The exclusion does not remove agreed performance, correction, refund, restitution, export or transfer obligations. If the exclusion cannot lawfully be applied, liability is determined under the applicable law; no automatic substitute monetary cap applies.
Dutch law governs this agreement. Disputes may be brought before the competent Dutch court under the applicable jurisdiction rules, including the competent subdistrict court where applicable. Mandatory jurisdiction and any mandatory protection applicable to a cross-border customer remain unaffected. If a clause is invalid, the remaining agreement continues so far as legally possible; no replacement may remove a mandatory right.
